Thank you for taking the time to consider joining UALite. Here are some of the terms and conditions to work with us.

1. Outline of Contract

1.1 This Terms of Service are negotiated between the Parties to the delivery of services provided through UALite to clients in relation to the creation, development or alteration of program or solution(s) or sub-elements of the software solution(s) or any other service or element of servicing that is provided to software solutions already in use.

1.2 These Terms and those contained in the Project Proposal and/or Scope of Work are to be included in this contract.

1.3 The initial payment that is made to UALite will be considered as an acceptance of these conditions and terms.

2. Payment

2.1 The client is responsible for the fees as stated within the Project Proposal.

Payment Information:

2.2 The payment of 50% of the quote for the project is required prior to the project's commencement. The remaining 50% is due on the completion of the project or in accordance with the terms and conditions set out within the Project Proposal.

2.3 Certain projects could be required to pay periodic fees from the client for a certain contract period . The client agrees that the minimum contract durations are reasonable.

2.4 If the customer should in any way fail to pay the amount due in full on time, UALite is entitled to charge interest on the amount due, at a rate of 3 percent per month. UALite is also entitled to block any other service previously offered to the customer.

2.5 The ownership of all work done through the UALite (and the copyright associated with it) whether it is speculative or a specific commissions will remain the exclusive property of UALite company until the when the full payment has been received. After the full payment is received, ownership of all work that is developed specifically for this software solution becomes the sole property of the customer. This includes any third-party software, applications, or server content developed by the company , or any other material licensed to be used in the solution.

3. Client Undertakings and Warranties

3.1 The client must give UALite the information needed to complete the project , including material, content including format and access.

3.2 The user warrants he has all copyright rights and other rights to proprietary rights in the software or other materials supplied UALite or undertakes to make sure that he is granted access to all necessary consents, if required for the material and content to be included in this project UALite.

3.3 The client affirms that the materials and content provided by the client UALite in connection with the delivery of the project will not infringe any law or regulation applicable to the project.

3.4 The client agrees that while UALite is providing the project services , he must comply with all applicable legal requirements. He will also keep track of any required certificates or registrations to ensure the functioning of the solution.

4. Cancellation

4.1 If the client decides to cancel any project then, some conditions are mentioned below:

4.1.1 If the project is canceled within 3 hours after booking, it will be replaced by another project of equal amount booked in the future.

4.1.2 In the event that there is a minimum contract term the client is required to pay the amount equal to the balance of total amount of fees due during the minimum contract term before the contract can be considered to be canceled.

5. Data Protection and Confidentiality

5.1 All information provided to UALite for the purpose of finishing projects will be stored securely in compliance with the Data Protection Act of 1998.

5.2 The data supplied will not be used for any other purpose or provided to any third party without the prior written consent from the client.

5.3 Data supplied will be deleted in a manner that it no longer is needed through UALite.

6. Project Milestones and Release

6.1 The client is permitted to make use of or publish the project software after the complete payment of the charges as stated in the Proposal Proposal has been paid to Raise UALite.

7. Links and Functioning of Software

7.1 UALite accepts no responsibility for the content of any other third party website that may link to the Client's Software.

7.2 UALite makes no warranties as to the operation of any software provided by any third parties or customers.
